Terms of Service

These Terms of Service ("Terms") govern your use of the BanquetDesk / GrowMyShop platform ("Service") operated by GrowMyShop ("we", "us"). By signing up for an account or paying the setup fee, you ("Customer", "you") agree to be bound by these Terms.

1. The Service

We provide a multi-tenant SaaS platform that lets a venue or small-business owner publish a website on a sub-domain of one of our base domains (e.g. yourvenue.banquetdesk.com) or a custom domain you own, capture leads through forms and QR codes, and send / receive WhatsApp messages.

2. Setup fee — what it covers

The one-time setup fee charged at signup covers:

  • Provisioning of your tenant on the platform.
  • Initial site go-live on the canonical sub-domain.
  • Where applicable to your plan: assistance with WhatsApp Business API onboarding, custom-domain wiring, and template submission to Meta.

3. Commission & payment release rules

Where this Service is sold or referred by a sales partner, agent or affiliate ("Partner"), the partner's commission or referral fee is recognised and released only when both of the following are true:

  1. Payment received: The Customer's setup fee (and where applicable, first monthly subscription charge) has been received in full and settled by Razorpay into our account.
  2. Site live: The Customer's website has been provisioned, the canonical sub-domain (or verified custom domain) is serving the live site, and the Customer has been delivered admin credentials.

Until both conditions are met, no commission is payable. This rule exists to protect the Service against fraudulent leads, low-intent signups, and chargeback abuse — it is a non-negotiable condition of partnering with us.

4. No refund / cancellation window

The setup fee is non-refundable after the website has been provisioned and admin access delivered, except where required by applicable law. See the Refund Policy for the full terms, including the limited 7-day window for refund eligibility on the setup fee, and the no-refund rule for monthly subscription charges.

5. Acceptable use

You agree NOT to use the Service to:

  • Send unsolicited bulk messages (spam) on WhatsApp or email.
  • Misrepresent your business identity, location, prices or accreditations.
  • Upload or display content that is illegal, infringes third- party rights, is sexually explicit, or promotes hate speech, self-harm or violence.
  • Attempt to bypass platform billing, plan-gated features, or rate limits.

We reserve the right to suspend any tenant that violates this section without refund.

6. Your data

You retain ownership of all content (text, images, customer lead data, WhatsApp messages) that you upload or that flows through your tenant. We process this data on your behalf to provide the Service, as described in our Privacy Policy.

7. WhatsApp Business API (BYOW)

On Growth and higher plans you may connect your own Meta WhatsApp Business Account ("BYOW"). You are solely responsible for compliance with Meta's WhatsApp Business Policy, message-template approvals, and any per-conversation charges Meta bills to your account. We are not liable for messaging blocks or quality-rating downgrades imposed by Meta.

7A. Instagram Business integration

If you connect an Instagram Business or Creator account, you authorise us to act on your behalf to read direct messages and comments, post automated replies, and manage conversation state via the Instagram Graph API and the Instagram API with Instagram Login. You confirm that you are the legitimate owner or authorised operator of the connected Instagram account. You are solely responsible for:

  • Complying with Meta's Platform Terms, Developer Policies, Community Standards, and the Instagram Messaging Policy — including the 24-hour standard messaging window, the HUMAN_AGENT 7-day window, and the prohibition on unsolicited promotional outreach.
  • The content of any message, automated reply, or comment posted from your connected account via the Service.
  • Honouring opt-out requests — the Service detects common STOP / UNSUBSCRIBE keywords and suppresses further automation to that user; you must not disable or circumvent this behaviour.

We may suspend the Instagram integration for a tenant whose usage pattern triggers Meta quality alerts, exceeds platform rate limits, or violates Meta policy. You may disconnect at any time from the admin panel.

8. Custom domains

Connecting a custom domain requires you to own the domain and configure DNS records as instructed in the admin panel. We do not provide domain registration. SSL certificates are provided automatically through our infrastructure provider.

9. Suspension & termination

  • For non-payment: If a monthly charge fails, we enter a 7-day grace period; if still unpaid, the public site is suspended (admin login remains active to resolve payment).
  • For policy violations: We may suspend or terminate immediately, without refund.
  • By you: You can cancel any time from the Billing tab in admin. Cancellation stops future monthly charges; the current paid period is honoured.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of these Terms or the Service is limited to the total fees paid by you to us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost bookings, or loss of goodwill.

11. Service availability

We use third-party infrastructure providers (currently Vercel for hosting, Neon for database, Cloudflare R2 for media, Razorpay for payments, Meta for WhatsApp and Instagram). The Service inherits the availability of these providers. We do not offer a contractual uptime SLA on the Free Trial or Starter plans.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified at least 14 days in advance via email to your registered owner email. Continued use after the effective date constitutes acceptance of the new Terms.

13. Governing law

These Terms are governed by the laws of India. Any dispute arising out of or in connection with the Service shall be subject to the exclusive jurisdiction of the courts at Pune, Maharashtra.
